ATLAS User Agreement

1. Acceptance and Applicability of the Agreement

By completing registration, checking the box indicating “I have read and agree to the User Agreement,” or accessing or continuing to use the Platform, the user acknowledges having read, understood, and agreed to be bound by this Agreement, as well as the relevant rules, risk disclosures, privacy policy, and specific business rules published by the Platform.
If the user does not agree to any part of this Agreement, they must cease registration or use of the relevant services.

2. Scope of Platform Services

The availability of specific services to a user is subject to the user’s location, account status, regulatory requirements, and the services actually provided by the Platform.
Certain financial services may be provided by third-party brokers, custodians, banks, payment service providers, liquidity providers, exchanges, clearing agencies, or other partner institutions.

3. User Registration and Accounts

When applying for an ATLAS account, the user must provide information that is true, accurate, complete, and valid, in accordance with the Platform’s requirements. Users must ensure that they:
Meet the minimum age requirements stipulated by applicable laws;
Possess the full legal capacity required to enter into this Agreement;
Provide information that is true, accurate, and pertains to themselves;
Do not impersonate, misappropriate, or illegally use the identity of others; and
Do not use the platform to engage in illegal activities.
In principle, each user shall create and use their account in accordance with the platform’s rules.
Without the platform’s permission, users may not sell, lease, lend, or transfer their accounts, nor allow others to conduct unauthorized transactions through their accounts.

4. Identity Verification and Compliance Review

In accordance with applicable laws, regulations, and the platform’s risk management requirements, ATLAS may require users to complete identity verification and necessary compliance reviews, including but not limited to:
KYC (Know Your Customer) checks, AML (Anti-Money Laundering) reviews, sanctions screening, fraud risk checks, verification of the source of funds or wealth, and verification of tax residency information where applicable.
The platform may require users to submit:
Identity cards, passports, or other government-issued identification; proof of address; selfies or liveness verification; tax information; bank account details; proof of source of funds; corporate registration documents; and other materials deemed reasonably necessary by the platform.
If a user refuses to provide information required by law or platform rules, or if the relevant information cannot be reasonably verified, the platform may restrict relevant functions or require further review in accordance with the law.

5. Account Security

Users are responsible for the proper safekeeping of:
Usernames, login passwords, trading passwords, SMS verification codes, email verification codes, two-factor authentication (2FA) information, API keys, and other security credentials.
Users shall bear legal liability for any losses resulting from their voluntary disclosure of security information to third parties, the use of insecure devices, or other actions attributable to the user.
Users must immediately contact customer service via the platform’s official channels if they discover unauthorized logins, transactions, or other suspicious activity.
The platform may implement reasonable security measures—such as login verification, device verification, transaction verification, or temporary account restrictions—based on risk assessments.

6. Trading Rules

Before submitting an order on ATLAS, users must personally verify:
The trading instrument, buy/sell direction, order type, quantity, price, trading session, and estimated fees.
The submission of an order by a user does not guarantee that the order will be executed. Orders may exhibit the following statuses:
Submitted, Pending Execution, Partially Filled, Fully Filled, Cancelled, Rejected, Expired, etc.
Actual execution depends on market liquidity, trading price, order priority, trading venue, order routing, and other market conditions.
The “Last Price” displayed on the platform represents only the most recent transaction information in the relevant market; it does not guarantee that a user can execute a trade at that price.
Actual executable prices may be affected by Bid/Ask spreads, market depth, liquidity, and price volatility.

7. Market Data

The platform may obtain market data from exchanges, market data vendors, brokers, and other third-party data providers.
Market data may include:
Last Price, Bid, Ask, trading volume, candlestick charts, order book data, historical data, and other market information.
Due to factors such as market data licensing, network latency, interruptions in data feeds, market liquidity, and technical issues, some market data may experience delays, temporary unavailability, or variations in update frequency.
Users acknowledge that:
Displayed market prices do not constitute a guarantee of execution prices.
The final, actual execution price and quantity shall be determined by the executing entity, trading venue, or order execution records.

8. Stock and Securities Trading

Stock prices may be influenced by market supply and demand, corporate fundamentals, macroeconomic conditions, trading venues, liquidity, and market events.
For low-liquidity securities, even when trading normally, the following situations may occur:
Absence of buy or sell orders, wide bid-ask spreads, prolonged periods without trades, partial fills, or inability to execute immediately.
Therefore:
“Tradability” of a security does not imply that an order can be executed immediately.
Users should fully understand the differences between market orders, limit orders, and other order types.

9. Trading Suspensions, Delistings, and Corporate Actions

Securities may be subject to trading suspension or delisting due to regulatory requirements, exchange decisions, major corporate events, mergers and acquisitions, privatization, bankruptcy, ticker symbol changes, or other reasons.
If a security held by a user is subject to such events, the platform will handle the situation based on the security’s actual status and information provided by partner brokers, exchanges, custodians, or clearing agencies.
Following delisting from a major exchange, a security may:
Be transferred to an OTC market, cease trading, undergo cash settlement, undergo security conversion, or be subject to other treatments based on corporate actions.
Specific outcomes are subject to the applicable corporate actions and actual execution results.

10. IPO Subscription

The Platform may provide eligible users with access to subscribe to IPOs and other securities offerings.
Users understand and agree that:
Submitting an IPO subscription request does not guarantee an allocation of securities.
The final allocation quantity may be influenced by factors such as the offering size, market demand, subscription volume, the issuer, and underwriting arrangements.
The quantity of securities ultimately received by the user may be less than the subscribed amount, or the user may receive no allocation at all.
IPO securities may rise or fall in price after listing; the Platform does not guarantee any investment returns from IPOs.

11. Digital Asset Spot Trading

When the Platform offers digital asset-related services, users should understand that digital assets carry a high risk of price volatility.
Different digital assets may utilize different blockchain networks.
When depositing or withdrawing digital assets, users must verify:
Asset type, blockchain network, wallet address, and any information required by the Platform, such as Memos or Tags.
Whether assets lost due to a user selecting the wrong network or address can be recovered depends on actual technical conditions; the Platform does not guarantee recovery.

12. Contract and Leveraged Trading

Contract, margin, and leveraged trading involve high risk.
Leverage can amplify both gains and losses.
Severe market volatility may lead to insufficient margin, forced liquidation of positions, and other significant losses.
Before participating in such trading, users should fully understand:
Margin requirements, leverage ratios, maintenance margin, forced liquidation mechanisms, fees, and associated risks.
The Platform shall not describe any product as risk-free or guaranteeing profit.

13. OTC Trading

OTC (Over-the-Counter) trading refers to off-exchange transactions completed outside the centralized exchange order book, in accordance with applicable trading mechanisms.
Specific OTC services may involve quote providers, counterparties, market makers, or other partner institutions.
Before engaging in OTC trading, users should confirm the asset to be traded, quantity, price quote, settlement method, and relevant fees.
OTC trading prices may differ from market prices on public exchanges.

14. Copy Trading and Trader Features

The Platform may provide features for trader profiles, strategy publication, and copy trading.
A trader’s historical performance:
Does not indicate future performance nor constitute a guarantee of future returns.
Before enabling the copy trading function, users should independently configure settings such as the copy ratio, maximum position size, and other risk parameters. Due to differences in network latency, market liquidity, slippage, account balances, and execution conditions, the final execution prices and returns for copy-trading users may differ from those of the traders they follow.

15. AI, Quantitative Tools, and Trading Signals

ATLAS may provide AI market analysis, quantitative strategies, market signals, technical indicators, or other auxiliary tools.
Such content is intended primarily for market analysis and decision support.
Unless otherwise expressly stipulated by applicable law or specific service agreements, the following provided by the platform:
AI analysis, trading signals, market insights, research materials, rankings, and historical data
shall not be construed as a guarantee of returns or trading outcomes.
Users should make investment decisions independently based on their own risk tolerance.

16. Fund Deposits and Withdrawals

Users must conduct deposit and withdrawal operations using the methods officially announced or actually provided by the platform.
Fund processing may involve banks, payment institutions, blockchain networks, custodians, and other third parties.
Consequently, the time required for funds to arrive may be affected by:
bank processing times, blockchain confirmations, compliance reviews, payment system status, public holidays, and other factors.
The platform cannot guarantee, without basis, that all deposits or withdrawals will be completed within a fixed timeframe.

17. Fees

Users may incur the following costs when using certain services:
trading commissions, platform service fees, market data fees, contract trading fees, network transaction fees, third-party service fees, and other fees applicable by law.
Actual fees are subject to the rates published by the platform and the relevant transaction confirmation details at the time of the transaction.
In the event of rate adjustments, the platform shall provide notification or make announcements in accordance with applicable laws and platform rules.

18. Taxation

Users are responsible for understanding the tax obligations applicable in their country or region regarding trading, capital gains, digital assets, and other asset-related activities.
The platform may provide relevant transaction records or tax documents to users, or report information to relevant authorities, as required by law.
Except where the platform expressly provides tax agency services in accordance with the law, account data or tax information provided by the platform does not constitute personal tax advice.

19. Prohibited Activities

Users shall not use ATLAS to engage in activities including, but not limited to:

Money laundering, terrorist financing, or other illicit financial activities;
Market manipulation, wash trading, matched orders, or other forms of market abuse;
Using a false identity or impersonating another person to use their account;
Unauthorized access to the platform’s systems;
Using malicious programs to attack the platform;
Illegally obtaining, selling, or disseminating platform data;
Bypassing account restrictions, security mechanisms, or compliance controls;
Exploiting system vulnerabilities for improper gain;
Engaging in other activities prohibited by applicable laws.
Upon detecting abnormal behavior, the platform may implement necessary risk control measures in accordance with applicable laws and platform rules.

20. Risk Disclosure

Users acknowledge that all investment and trading activities involve risks, including but not limited to:
Market risk, liquidity risk, price volatility risk, leverage risk, exchange rate risk, technical risk, cybersecurity risk, third-party service risk, regulatory risk, and force majeure risk.
Users may lose a portion or even all of their invested capital.
ATLAS does not guarantee that any securities, digital assets, strategies, traders, or trading signals will generate a profit.

21. System Maintenance and Service Interruptions

The platform may temporarily suspend certain functions due to:
System upgrades, server maintenance, market data service interruptions, exchange maintenance, network failures, third-party service anomalies, or force majeure events.
The platform will take reasonable measures to restore services based on the actual situation.
Regarding the final status of actual orders, the information confirmed by the trading venue, broker, clearing agency, or other actual execution system shall prevail.

22. Privacy and Data Protection

The platform will process user information in accordance with applicable privacy policies and data protection laws.
Information that may be processed includes:
Account details, identity verification information, contact information, transaction records, device information, login records, IP information, and data required to fulfill compliance obligations.
The platform shall implement reasonable technical and organizational measures to protect the security of user information.
Specific processing methods are governed by the “Privacy Policy.”

23. Third-Party Services

Certain services may rely on third-party entities, including:
Securities brokers, exchanges, clearing agencies, banks, payment institutions, custodians, market data providers, blockchain networks, and technology service providers.
Third-party services may be subject to their own rules and terms of service. The Platform shall clearly define the boundaries of responsibility between itself and third-party institutions based on the actual legal relationship; it shall not misrepresent regulated services actually provided by third parties as being provided by the Platform itself.

24. Amendment of Agreement

The Platform may reasonably amend this Agreement due to changes in laws and regulations, regulatory requirements, business adjustments, or product upgrades.
For material changes requiring advance notice by law, the Platform will notify users via website announcements, in-app notifications, email, or other appropriate means.
The amended Agreement shall take effect on the date of implementation as announced.

25. Account Termination

Users may apply to close their accounts in accordance with the procedures provided by the Platform.
Prior to account closure, the following may need to be completed in accordance with the law:
processing of outstanding orders, handling of open positions, fund settlement, necessary identity or compliance verification, and other pending matters.
The Platform may also restrict or terminate account services in accordance with this Agreement and applicable rules, to the extent permitted by law.
Account closure does not affect legitimate rights and obligations accrued prior to closure, nor does it affect records required by law to be retained.

26. Limitation of Liability

To the maximum extent permitted by applicable law, the Platform shall not bear liability for guarantees regarding normal market fluctuations, users’ independent investment decisions, third-party service failures, or other matters beyond the Platform’s reasonable control.
However, nothing in this Agreement shall be construed as excluding or limiting liability that cannot be excluded or limited by law.

27. Contact Us

If users have any questions regarding this Agreement, their accounts, or the platform services, they may contact us via the official customer service channels announced by ATLAS.
